Schedule of Conditions of Supply
Made by the Office of the Registrar under Article 1(3) of the Constitution · Deposited 25 August 2026 · Twelve parts · Applies to every fee taken on the portal of state · Open to inspection at all times
Summary for the applicant
Everything the Republic supplies is commemorative. Every fee is final and is not refunded. Offices, entries and the sponsorship renew each year until you stop them from your citizen file. Citizenship itself is free and always will be. The supplier is Unified Software Solutions LLC, doing business as the Republic of Saint Guillermo.
Read with the Notice on the Keeping of Records (SG/REG/REC/1).
Part 1 — Of the supplier
- 1(1)The portal of state at www.saintguillermo.com, and every instrument, article, office, entry, placement and sponsorship offered on it, is supplied by Unified Software Solutions LLC, a limited liability company organised under the laws of the State of Delaware, United States of America, with its registered office at 262 Chapman Road, Suite 240, Newark, Delaware 19702, United States of America, doing business as the Republic of Saint Guillermo (in this Schedule, “the Republic”). Every fee is taken by, and every contract of supply is made with, that company.
- 1(2)Correspondence concerning these Conditions is addressed to the Office of the Registrar at registry@saintguillermo.com, or by post to Unified Software Solutions LLC at the address in 1(1), and is answered in the order received.
- 1(3)These Conditions are made by the Office of the Registrar, the seat of government under Article 1(3) of the Constitution, and are read together with the Notice on the Keeping of Records (SG/REG/REC/1). Where the Constitution and this Schedule differ on a matter of money, this Schedule governs; where they differ on any other matter, the Constitution governs.
Part 2 — Of the commemorative character of everything supplied
- 2(1)The Republic of Saint Guillermo is a commemorative institution. Citizenship, certificates, passports, flags, plates, offices of state, entries in the Register of Enterprises, warrants of appointment, placements, postmarks and sponsorships are commemorative in nature and confer no nationality, residency, visa, travel document, tax status, consular protection, legal personality, licence, trade mark, permit, authority or right of any kind in any recognised jurisdiction.
- 2(2)No article supplied by the Republic is a travel document, an identity document or an instrument of any government. The passport (SG-101) is a bound commemorative book and may not be presented as a document of identity or travel anywhere.
- 2(3)The applicant acknowledges that a fee paid to the Republic is paid for the commemorative article, record or recognition described on the page of supply, and for nothing else, and that its value to the applicant is a matter for the applicant alone.
Part 3 — Of fees and of their non-return
- 3(1)Every fee is stated in United States dollars on the button by which it is taken, and nowhere else. Fees are collected by Stripe, Inc. on the Republic’s behalf, and the applicant’s bank or card issuer may apply its own charges, over which the Republic has no control.
- 3(2)ALL FEES ARE FINAL AND NON-REFUNDABLE. A fee once taken is not returned, in whole or in part, for any reason — including change of mind, resignation of an office, withdrawal of an entry, refusal or striking-off of an entry under Part 7, surrender of a sponsorship, non-use of a placement, dissatisfaction with a commemorative article, or the applicant’s failure to read this Schedule.
- 3(3)The sole exceptions to 3(2) are: (a) a refund that the Republic is required to make by a law that cannot be excluded by agreement; (b) a fee taken twice in error for the same supply, of which the duplicate is returned; and (c) an article lost in carriage or received damaged, which is dealt with under Part 5 and not by refund.
- 3(4)Where the Republic elects, entirely at its discretion and without creating any expectation for the future, to return a fee in a case not covered by 3(3), the return is made to the original method of payment, less any charges the Republic cannot recover, and the entry, office, placement or article to which it related is treated as never having been supplied.
- 3(5)A chargeback or dispute raised with a card issuer in respect of a fee properly taken under this Schedule is answered by the Republic with the record of supply, this Schedule, and the applicant’s acceptance of it.
Part 4 — Of fees that renew
- 4(1)The fee of office (Article 5(4)), the fee of entry in the Register of Enterprises (Decree 7 of 2026) and the fee of the Exclusive Sponsorship are annual fees. Each is taken in full on take-up and thereafter on each anniversary of take-up, automatically, at the rate stated on the button at take-up or as later published, until the office is resigned, the entry withdrawn or the sponsorship surrendered.
- 4(2)By taking up an office, entry or sponsorship the applicant authorises the Republic and Stripe to charge the method of payment supplied on each anniversary without further notice, and acknowledges that a renewal fee once taken is non-refundable under Part 3.
- 4(3)The applicant may stop future renewals at any time, and before the next anniversary, by resigning the office or withdrawing the entry from the citizen file at /profile, by surrendering the sponsorship in writing, or by cancelling the subscription in the Stripe customer portal reached from the citizen file. The stop takes effect for the next anniversary; the current term runs to its end and its fee is not returned, in whole or in part.
- 4(4)Where a renewal fee cannot be taken because the method of payment fails, the office lapses, the entry lapses or the sponsorship ends on the day Stripe records the subscription as ended, and the lapse is recorded in the register concerned. A lapsed office or entry may be taken up again as a new supply at the fee then current.
Part 5 — Of articles despatched by post
- 5(1)The passport (SG-101), the national flag (SG-122) and the plate of office are manufactured articles. A fee taken for one of them is a reservation of the first run; the article is despatched following manufacture to the address supplied at checkout. No date of despatch is promised, and delay in manufacture is not a ground for refund.
- 5(2)The applicant is responsible for supplying a complete and correct delivery address. An article returned to the Republic as undeliverable is held for six months and may be re-despatched once at the applicant’s expense; after six months it is treated as abandoned.
- 5(3)Duties, import taxes and customs charges levied at the place of delivery are the applicant’s to pay.
- 5(4)An article received damaged, or not received within ninety days of the notice of despatch, is reported to the Office of the Registrar in writing within a further fourteen days, with photographs where the article was received. The Republic replaces the article at its own expense or, where replacement is not practicable, returns the fee. This is the applicant’s only remedy for a damaged or lost article.
- 5(5)Manufactured articles are commemorative reproductions and small variations in colour, weight, finish and dimension between the specimen shown and the article supplied are not defects.
Part 6 — Of citizenship, which is free
- 6(1)Citizenship is free and no fee is charged for it (Article 3(3)). Nothing in this Schedule makes citizenship, or anything the Constitution grants without charge, conditional on payment.
- 6(2)The Republic examines every name tendered on Form C-1 and may refuse a name without giving reasons. Refusal of a name is not refusal of the person, and a further application may be made.
- 6(3)Entry in the register publishes the citizen’s name, citizen number, date of entry and country of residence, and any office held, on the public registry and at the citizen’s public entry, as Article 7 requires. The applicant consents to that publication by lodging Form C-1.
Part 7 — Of the Register of Enterprises, placements and warrants
- 7(1)The fee of entry is a fee for examination and, if the entry is verified, for its keeping on the register for one year. Payment of the fee does not itself effect registration: the entry stands provisional until the Registrar verifies it, and the Registrar may refuse it. A refused entry is recorded as refused, its subscription is ended, and the fee is not returned, the examination having been carried out.
- 7(2)The Registrar may strike off an entry at any time where the enterprise, its name, its image or its trade is unlawful, infringes the rights of another, misrepresents the Republic, or would bring the register into disrepute. The fee for the current term is not returned.
- 7(3)A placement as Enterprise of the Month is a one-off fee for a stated calendar month. Placements are not transferable, may not be moved to another month, and are not refunded whether or not the enterprise remains registered when the month arrives. Where a month is found to be full at the time of payment, the placement is refused and the fee returned under 3(3)(b) as taken in error.
- 7(4)A warrant of appointment is granted, refused or revoked at the Registrar’s discretion. The fee is a fee for examination and is not returned on refusal or revocation.
- 7(5)The proprietor of an entry warrants that the name, image and description tendered are the proprietor’s to tender, and indemnifies the Republic against any claim arising from them.
Part 8 — Of the Exclusive Sponsorship
- 8(1)The Exclusive Sponsorship is supplied on the terms of the prospectus at /enterprises/sponsorship, which forms part of this Schedule for that supply. The annual fee is taken on take-up and is not returned, in whole or in part, on surrender, on non-use of any benefit, or where the sponsor’s mark is found unsuitable for display under 8(2).
- 8(2)The Republic displays the sponsor’s mark in the manner the prospectus describes, but declines to display any mark that is unlawful, that infringes the rights of another, or that the Registrar judges incompatible with the dignity of the state. Declinature is not a ground for refund.
Part 9 — Of liability
- 9(1)To the fullest extent the applicable law allows, the Republic’s entire liability to an applicant in respect of any supply is limited to the fee paid for that supply, and the Republic is not liable for any indirect, consequential or special loss, loss of profit, or loss arising from reliance on any commemorative article or record as if it were an instrument of a recognised government.
- 9(2)Nothing in this Schedule excludes or limits liability that cannot be excluded or limited by law, including for death or personal injury caused by negligence, or for fraud.
- 9(3)The portal is supplied as it stands and as available. The Republic does not warrant that it is free of error or interruption, and reserves the right to alter, suspend or withdraw any page, register, instrument or supply at any time. Fees already taken for a supply that the Republic withdraws before it is made are returned under 3(3)(a) where the law so requires.
Part 10 — Of the applicant
- 10(1)An applicant must be at least eighteen years of age to pay a fee. A person under eighteen may be entered as a citizen, citizenship being free, but may not take up any supply for which a fee is charged.
- 10(2)By pressing a button that states a fee the applicant accepts this Schedule in full, confirms that they have read Part 3, and authorises the fee to be taken.
- 10(3)The Republic may decline any supply to any person without giving reasons, and in that case returns any fee taken for it.
Part 11 — Of the law and of disputes
- 11(1)This Schedule, and every supply made under it, is governed by the law of the State of Delaware, United States of America, without regard to its rules on conflict of laws, save where the mandatory consumer law of the applicant’s place of residence gives the applicant a protection that cannot be excluded.
- 11(2)A complaint concerning a supply is lodged first with the Ministry of Complaints under Article 11 at /ministries#complaints or by correspondence to registry@saintguillermo.com, and the Republic will attempt in good faith to dispose of it within thirty days. Only after that period may proceedings be brought, and then in the state or federal courts sitting in the State of Delaware, unless the applicant’s mandatory consumer law provides otherwise.
- 11(3)If any provision of this Schedule is held unenforceable, it is severed and the remainder stands. The Republic’s failure to enforce a provision is not a waiver of it.
Part 12 — Of amendment
- 12(1)The Registrar may amend this Schedule by publishing the amended text at this address with a new effective date. An amendment applies to every supply made after its effective date, and to the renewal of an annual fee falling due after that date, notice of which is given by the publication itself. An applicant who does not accept an amendment stops the renewal under 4(3) before the anniversary.
